Terms of Service

These Terms of Service are entered into by and between you and Pioneer Advisory, LLC, a Delaware limited liability company ("Pioneer Advisory," "Company,""we," or "us"). The following terms and conditions ("Terms of Service" or "Agreement"), together with the Company's Investment Advisory Brochure (the "Brochure"), govern investment advisory services provided by Pioneer Advisory, LLC via, and your access to and use of, the mobile application "PiTrade" owned by Pioneer Investing Inc. and operated by Pioneer Advisory, including any content, functionality, and services offered on or through PiTrade, whether as a guest or as a registered user.

These Terms of Service will confirm your agreement for Pioneer Advisory to act as a client of the Company for purposes of the advisory services. Only after your acceptance of this Agreement Pioneer Advisory will provide you with certain investment advisory services as provided herein and in the Brochure in accordance with the following terms and conditions.

By entering into this Agreement, you acknowledge you have received, carefully read and understood our Privacy Policy, Form ADV Part 2A - the Investment Advisory Brochure, and Form ADV Part 3 - Client Relationship Summary which are publicly available at PiTrade.

Changes to the Terms of Service

This Agreement is subject to change. We may revise and update this Agreement from time to time in our sole discretion. If this Agreement changes, we will let you know by posting the revised Agreement on PiTrade and/or otherwise making you aware of the changes. All changes are effective immediately when we post them, and apply to all access to and use of the mobile application thereafter. However, any changes to the dispute resolution provisions set out in Governing Law and Jurisdiction will not apply to any disputes for which the parties have actual notice before the date the change is posted.

Your continued use of our mobile application following our notice of changes to this Agreement (or other method of legal acceptance) means you accept such changes. Please refer to the "Last updated" date above to see when this Agreement was last updated. If you do not accept these Terms of Service or cannot form a legally binding contract, you may not access or use PiTrade.

You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.

License

As long as you are in compliance with the conditions of this Agreement and all incorporated documents, we hereby grant you a limited, revocable, non-assignable, non-transferrable, non-sublicensable, non-exclusive license to access and use PiTrade. No rights not explicitly listed are granted.

Appointment

By registering an account on PiTrade, completing the onboarding process, and selecting to copy one or more portfolios or strategies, you hereby retain Pioneer Advisory to act as your investment adviser pursuant to the terms of this Agreement. Pioneer Advisory accepts such appointment and agrees to provide advisory services in accordance with applicable law and the fiduciary obligations imposed under the Investment Advisers Act of 1940, as amended (the "Advisers Act").

PiTrade Overview, Scope of Services

PiTrade is designed to provide continuous, automated, and algorithm-driven portfolio management and oversight in a fully online environment. Through PiTrade, users may create, publish, and copy model portfolios and strategies in a transparent, collaborative, and regulated setting.

Pioneer Advisory provides access to the proprietary mobile application "PiTrade." Through the application, the Company offers model portfolio management services. Within PiTrade, you may develop and share your own investment portfolios and strategies; replicate and follow investment portfolios and strategies created by other users or developed by the Company; or both copy and share. In addition, Pioneer Advisory grants you access to the associated data, services, information, tools, functionality, updates, and similar materials delivered or otherwise made available to you as a user of PiTrade.

The core features of PiTrade include portfolio creation, publication, and replication. Users have full discretion over the development and management of their portfolios and strategies. Any portfolio or strategy, whether created by us, by you, or by another user, may involve equities, ETFs, or other asset classes. You may designate your portfolio as either private or public. Public portfolios, once submitted, undergo a review by Pioneer Advisory's automated systems, which evaluate risk-adjusted returns, volatility, maximum drawdown, trade frequency, and historical performance consistency. Only portfolios that meet these standards are approved for copying. Once approved, they may be discovered by you and other users through search, filtering, and personalized recommendation tools within PiTrade.

Please note that you may not replicate any portfolio solely because it is publicly displayed on PiTrade. Instead, you may copy only those portfolios and strategies that align with your risk profile, as determined by our automated compliance protocols based on the questionnaire you complete. When you choose to copy a portfolio, we exercise our discretionary authority to transmit corresponding automated trade instructions directly to Interactive Brokers LLC for execution. This process ensures that your brokerage account mirrors the selected portfolio, subject to ongoing risk alignment.

To enhance your experience and that of other users, we conduct real-time monitoring of publicly available portfolios and strategies. If a copied portfolio or strategy changes in a manner inconsistent with your stated objectives, PiTrade will automatically suspend copying until alignment is restored. You remain free to stop copying a portfolio at any time.

Another feature of PiTrade is the Leaderboard, which displays the historical performance of publicly available portfolios across various asset classes. Rankings are based exclusively on automated, quantitative metrics derived from actual trading data. These rankings are provided for informational purposes only and do not constitute investment recommendations or endorsements. Copying remains strictly subject to suitability criteria and risk alignment, regardless of ranking. For additional details regarding the composition of the Leaderboard and the metrics used, please refer to the Firm's Brochure.

To ensure the provision of a safe environment, we reserve the right to monitor, restrict, or suspend access to PiTrade in cases of compliance concerns, suspicious activity, or violations of PiTrade rules. While Pioneer Advisory acts as a fiduciary in connection with its advisory role, you retain full discretion over your participation, including the ability to start or stop copying strategies at any time.

Authority and Discretion

By electing to copy a portfolio or strategy, you grant us discretionary authority to transmit trade instructions to Interactive Brokers for execution in your account, without prior consent for each trade.

Discretionary authority is limited to the execution of transactions necessary to implement the selected Portfolio or Strategy. Pioneer Advisory may suspend or cease copying if a Portfolio or Strategy no longer aligns with Client's stated risk profile.

Eligibility

Some parts or all of PiTrade may not be available to the general public, and we may impose eligibility criteria from time to time. We reserve the right to amend or eliminate these eligibility requirements at any time.

By using PiTrade, you represent and warrant that you have the right, authority and capacity to enter into this Agreement and you commit to abide by all of the terms and conditions herein.

By agreeing to these Terms of Service and using PiTrade, you represent and warrant that:

You are at least the age of majority in your state or province of residence;
You have full legal and physical capacity and have sufficient authority to agree to these Terms of Service;
You do not provide us with false, unreliable, or fraudulent information;
You have not previously been prohibited or restricted from using PiTrade;
You use PiTrade at your discretion and under your own responsibility;
You have sufficient knowledge and experience in business and financial matters, including sufficient understanding of investment in securities, copytrading, applicable regulations, including investment, securities and tax regulations, to assess the risks and benefits of purchasing, trading and copytrading securities, including the matters set out in these Terms of Service, and may bear risks, including the loss of securities and liability to us and other persons for actions and omissions, including actions that are in breach of this Terms of Service, negligence, or fraud;
You are not under the control of jurisdiction that explicitly prohibits the use of similar activities;
All arrangements made within PiTrade or us will be performed only on your behalf;
All transactions will be made to a bank account not located in the country or in the territory, which were entered in the list of Restricted Jurisdictions (as defined below);
You are the lawful owner of the funds you pay to subscribe to the services and trade or copytrade within PiTrade, and these funds come from legal sources;
You do not misrepresent your IP address, nor use Tor (The Onion Router), VPNs (virtual private networks), or other ways to change your reflected address and/or location.

"Restricted Jurisdictions" include jurisdictions listed in FATF "Gray" and "Black" lists.

If you do not meet all of these requirements, you must not access or use PiTrade.

Subscriptions, Cancellations and Payments

One of the core features of Pitarde - copytrading - is available on a subscription basis, with two tiers of access as described further. You may know about the current subscription fees at https://www.pitrade.com/pricing. Please note that we may amend our subscription policy from time to time. Certain information regarding the subscriptions provided herein may be inaccurate.

Subscription fees may be billed on either a monthly or annual basis, as selected by you at the time of purchase. All fees are payable in advance and will be automatically charged to the payment method provided by you at the time of registration, and thereafter on a recurring basis until cancelled. You are responsible for ensuring that your payment information remains current and accurate. Failure to process payment may result in suspension or termination of access to subscription features.

Monthly subscription fees are non-refundable. If you decide to cancel an annual subscription before the end of the applicable term, we will issue a pro-rata refund for the unused portion of the subscription, less any discounts applied at the time of purchase, which shall be forfeited. No penalties will be imposed for early cancellation.

You may cancel your subscription at any time through your account settings in the App Store or Google Play Store, depending on where you purchased your subscription. Cancellation will take effect at the end of your current billing period. Upon cancellation, you will continue to have access to subscription features until the expiration of the billing period already paid for, at which point access to such features will terminate.

All subscription fees are exclusive of any applicable taxes, duties, or levies imposed by taxing authorities, and Users are responsible for the payment of any such additional amounts.

UNLESS YOU CANCEL BEFORE RENEWAL AND EXCEPT WHERE PROHIBITED BY LAW, SUBSCRIPTIONS AUTOMATICALLY RENEW FOR AN ADDITIONAL TERM OF THE SAME LENGTH UPON EXPIRATION. FEES OR CHARGES DURING ANY SUCH RENEWAL TERM SHALL BE THE SAME AS THAT DURING THE PRIOR TERM UNLESS WE HAVE GIVEN YOU NOTICE OF AN INCREASE AS DESCRIBED HEREIN, IN WHICH CASE THE INCREASE SHALL BE EFFECTIVE UPON RENEWAL AND THEREAFTER.

Trades executed through PiTrade are routed through a third-party broker-dealer, Interactive Brokers LLC. You are solely responsible for any commissions or transaction fees charged by the broker-dealer. Pioneer Advisory does not charge or receive any additional compensation in connection with such brokerage fees.

No custodial fees are charged by Pioneer Advisory. Custodial services are provided directly by the executing broker-dealer without additional charges from PiTrade.

BY PURCHASING A SUBSCRIPTION, YOU EXPRESSLY AUTHORIZE PIONEER ADVISORY LLC TO CHARGE THE DESIGNATED PAYMENT METHOD ON A RECURRING BASIS, IN ACCORDANCE WITH THE SUBSCRIPTION PLAN SELECTED, UNTIL SUCH TIME AS YOU CANCEL THE SUBSCRIPTION IN ACCORDANCE WITH THIS SECTION.

User Bonus Pool

Pioneer Advisory, LLC has established a User Bonus Pool to encourage engagement and participation within PiTrade. The User Bonus Pool is funded from Pioneer Advisory's general revenues, including subscription fees, and is intended to recognize and reward Users who demonstrate consistent, active use of PiTrade. Participation in the User Bonus Pool is optional and is not a condition of using PiTrade or of publishing investment strategies.

The User Bonus Pool is designed to promote transparency, education, and community participation and is distributed in accordance with objective engagement metrics. Eligible behaviors that may qualify a User for rewards include, but are not limited to, maintaining a verified and complete profile, logging into PiTrade regularly, contributing educational or informational content (excluding personalized investment advice), and participating in PiTrade surveys, testing, or other community programs.

Eligibility for participation in the User Bonus Pool is subject to the following minimum requirements: (i) your profile must be publicly available; (ii) the profile must have been active for at least three (3) months; (iii) you must log into PiTrade on at least ten (10) days in a given month; (iv) your portfolio must maintain a minimum value of USD $1,000 at the time of creation; and (v) your profile performance must exceed the seventy-fifth (75th) percentile of median profile performance across asset classes, as determined by our automated systems.

The User Bonus Pool consists of both a fixed and variable component. Ten percent (10%) of the User Bonus Pool is distributed equally among all Eligible Users. The remaining ninety percent (90%) is distributed among the top-performing Eligible Users, determined on the basis of quantitative performance metrics, such as the highest three-month Sharpe ratio, using an allocation formula applied algorithmically. Equal representation from each asset class is maintained to ensure fairness.

Pioneer Advisory does not supervise or endorse strategies published by users, and inclusion in the User Bonus Pool or receipt of any reward does not constitute investment advice, an endorsement of the User, or a guarantee of future performance. Pioneer Advisory retains the right to amend, suspend, or discontinue the User Bonus Pool at its sole discretion and without prior notice.

Brokerage Services

Pioneer Advisory does not itself execute trades, hold client assets, or provide brokerage services. Instead, Pioneer Advisory facilitates access to brokerage services through its integration with Interactive Brokers, LLC ("Interactive Brokers") via PiTrade.

All trades placed on PiTrade by you are executed through brokerage accounts opened and maintained in your name with Interactive Brokers. You are solely responsible for complying with Interactive Brokers's terms of service, brokerage agreements, and trading rules, which govern the relationship between you and Interactive Brokers. Any commissions, fees, transaction costs, or other charges associated with trading activity are determined and assessed by Interactive Brokers in accordance with its standard pricing and fee disclosures. Pioneer Advisory does not impose additional transaction fees, receive commissions, or participate in revenue-sharing arrangements with Interactive Brokers.

By using PiTrade, you authorize us to transmit trade instructions to Interactive Brokers on your behalf in connection with trading, copytrading and other automated trading features. Pioneer Advisory exercises discretionary authority over your account and we don't need your prior consent for each trade. In this regard, your acceptance of this Agreement and direct expression of the will to trade certain securities or copy certain strategies is sufficient for us.

You acknowledge and agree that Pioneer Advisory is not liable for the performance, timeliness, accuracy, or outcome of any trade executed by Interactive Brokers, nor for any service disruptions, execution delays, or trading limitations attributable to Interactive Brokers's systems or procedures. All inquiries or disputes related to trade execution, settlement, or account servicing must be directed to Interactive Brokers in accordance with its customer support policies and regulatory obligations.

Users further acknowledge that directing brokerage exclusively through Interactive Brokers may limit the ability to achieve best execution in certain circumstances, including where aggregation of orders or negotiation of volume discounts would otherwise be available through alternative brokerage arrangements. Notwithstanding such limitations, the integration with Interactive Brokers is intended to provide seamless technology alignment, standardized execution procedures, and centralized custody for the benefit of PiTrade users.

Accessing PiTrade and User Profile Security

We reserve the right to withdraw or amend PiTrade, and any service or material we provide on PiTrade, in our sole discretion without notice. We will not be liable if for any reason all or any part of the mobile application is unavailable at any time or for any period. From time to time, we may restrict user access, including registered user access, to some parts of PiTrade or the entire mobile application.

You are responsible for both: (i) making all arrangements necessary for you to have access to PiTrade; and (ii) ensuring that all persons who access PiTrade through your internet connection are aware of these Terms of Service and comply with them.

In order to access the investment functionality of PiTrade, you must create a profile and complete a detailed risk questionnaire covering your income, net worth, financial goals, investment horizon, and prior investment experience. Identity verification is conducted through our designated broker-dealer, Interactive Brokers LLC (FINRA-registered broker-dealer and member of SIPC), which provides execution, custodial, and clearing services. Only after successful onboarding and verification you may engage in trading or copytrading activities.

It is a condition of your use of PiTrade that all information submitted by you and any other information provided to Interactive Brokers LLC in connection with this Agreement, is current, accurate, truthful, and complete. You agree to promptly notify us and Interactive Brokers LLC of any changes to your Information, but in any event, within thirty days of such change. You acknowledge and agree that we may rely on your information, including any updates thereto, without any question or investigation of our own. You agree that all information you provide to register with PiTrade or otherwise, including, but not limited to, through the use of any interactive features on the mobile application, is governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy.

If you choose a username, password, or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to PiTrade or portions of it using your username, password, or other security information. You agree to notify us immediately of any unauthorized access to or use of your username or password or any other breach of security. You also agree to ensure that you exit from your account at the end of each session. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information.

We have the right to disable any username, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms of Service.

To keep up with your investment plans and support continued compliance with regulatory requirements, PiTrade will prompt you on a quarterly basis to review and update your profile information. You may also receive real-time alerts regarding material changes to portfolios or strategies you follow, including increased volatility or changes in investment approach. Our automated monitoring continuously ensures that all copied strategies remain aligned with your risk tolerance and objectives. User Profile

Your profile serves as the central interface through which you access and interact with PiTrade's functionalities, including but not limited to the creation, management, and publication of investment portfolios, subscription management, and participation in community features such as the Leaderboard and User Bonus Pool.

Your profile contains information submitted by you during the onboarding process, which may include personal identifying details, such as name, telephone, and email address, financial objectives, and risk preferences. Although Pioneer Advisory may receive this information for internal, non-advisory purposes-such as PiTrade personalization, statistical analysis, and risk scoring-the Company does not independently verify such information nor does it use it to provide investment advice or conduct suitability assessments.

You are responsible for maintaining the accuracy and completeness of the information contained in your profile and are encouraged to review and update such information regularly.

Intellectual Property Rights

PiTrade and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, graphics, logos, names, designs, page headers, button icons, scripts, selection, and arrangement thereof) are owned by our Pioneer Advisory, LLC, our licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may download a single copy to your mobile device solely for your own personal, non-commercial use, provided you agree to be bound by this Agreement. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our mobile application.

You must not: (i) modify copies of any materials from PiTrade; (ii) delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from this site.

You must not access or use for any commercial purposes any part of PiTrade or any services or materials available through the mobile application.

If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of PiTrade in breach of the Terms of Service, your right to use the mobile application will stop immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title, or interest in or to PiTrade or any content on it is transferred to you, and all rights not expressly granted are reserved by the Company or its licensors. Any use of PiTrade not expressly permitted by these Terms of Service is a breach of these Terms of Service and may violate copyright, trademark, and other laws.

This Agreement does not convey title or ownership to you, but instead gives you only the limited rights set forth herein.

Trademarks

The Company name, the term PITRADE©, the Company graphics, logos, names, designs, page headers, button icons, scripts, and service names are trademarks, trade names and/or trade dress of Pioneer Advisory, LLC., our licensors, or other providers of such material. The "look" and "feel" of PiTrade (including color combinations, button shapes, layout, design and all other graphical elements) are protected by U.S. copyright and trademark law.

You may not use the Marks or copyrights for any purpose whatsoever other than as permitted by this Agreement. All other names, logos, product and service names, designs, and slogans on the mobile application are the trademarks of their respective owners.

Prohibited Uses

You may use PiTrade only for lawful purposes and in accordance with these Terms of Service. You agree not to use the mobile application:

In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
Use PiTrade and any of its features in any way that violates any applicable federal, state, local, or international law or regulation, including securities, investment, tax, anti-money laundering, and data protection laws.
Engage in or facilitate fraudulent, deceptive, or manipulative conduct, including "pump and dump" schemes, market manipulation, or misrepresentation of investment performance.
For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
To send, knowingly receive, upload, download, use, or re-use any material that does not comply with the Content Standards set out in these Terms of Service.
Publish, transmit, or distribute any content that is defamatory, obscene, harassing, abusive, hateful, or otherwise unlawful or objectionable.
Misrepresent your identity, profile information, investment experience, or performance on PiTrade.
Submit inaccurate or misleading information during the registration, verification, or risk-profiling process.
Use the PiTrade to advertise, solicit, or promote any goods, services, or businesses not expressly authorized by Pioneer Advisory.
Accept or solicit compensation, directly or indirectly, from other users in connection with the provision of investment strategies or advice.
Attempt to sell, license, or otherwise exploit access to iTrade for commercial gain other than as expressly permitted.
Attempt to gain unauthorized access to any portion of PiTrade, other user accounts, or any systems or networks connected to the mobile application.
Introduce viruses, malware, or other harmful code, or engage in any activity that disrupts, damages, or interferes with the proper functioning of PiTrade.
Circumvent or attempt to circumvent any security, access control, or risk management features implemented by Pioneer Advisory.
Create, publish, or promote portfolios or strategies that are intentionally misleading, inconsistent with disclosed objectives, or designed to exploit other users.
Attempt to manipulate the Leaderboard, rankings, or User Bonus Pool through artificial, coordinated, or fraudulent trading activity.
Copy or attempt to copy portfolios or strategies outside of the approved processes of PiTrade.
Use PiTrade in any manner that infringes or violates the intellectual property, proprietary, or privacy rights of Pioneer Advisory or any third party.
Reproduce, duplicate, copy, sell, resell, or exploit any portion of PiTrade without our prior written consent
Impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity (including, without limitation, by using email addresses or screen names associated with any of the foregoing).
To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of PiTrade, or which, as determined by us, may harm the Company or users of PiTrade, or expose them to liability.

We reserve the right, in our sole discretion and without prior notice, to suspend, restrict, or terminate any account or access to the PiTrade that is engaged in, or suspected of being engaged in, any prohibited use. Pioneer Advisory further reserves the right to cooperate with law enforcement, regulatory authorities, or other third parties in investigating or prosecuting any violation of this section.

Additionally, you agree not to:

Use PiTrade in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of PiTrade, including their ability to engage in real time activities through PiTrade.
Use any robot, spider, or other automatic device, process, or means to access the mobile application for any purpose, including monitoring or copying any of the material on PiTrade.
Use any manual process to monitor or copy any of the material on PiTrade, or for any other purpose not expressly authorized in these Terms of Service, without our prior written consent.
Use any device, software, or routine that interferes with the proper working of the mobile application.
Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the PiTrade or any server, computer, device, or database connected to PiTrade.
Attack PiTrade via a denial-of-service attack or a distributed denial-of-service attack.
Otherwise attempt to interfere with the proper working of PiTrade.

User Contributions

PiTrade may contain certain interactive features ("Interactive Services") that allow users to post, submit, publish, display, or transmit to other persons (hereinafter, "post") investment strategies and portfolios, user's profile information (collectively, "User Contributions") on or through PiTrade.

In order for us to provide PiTrade, we may need your permission to process, display, reproduce and otherwise use content you make available to us. However, we will not claim ownership of any User Contributions.

Therefore, if you choose to post any User Contributions to PiTrade, or otherwise make available any User Contributions through PiTrade, you hereby grant to us a perpetual, irrevocable, transferable, sub-licensable, non-exclusive, worldwide, royalty-free license to reproduce, use, modify, display, perform, transmit, distribute, translate and create derivative works from any such User Contributions for purposes of providing PiTrade, including without limitation distributing part or all of the User Contributions in any media format through any media channels, including but not limited to the right to commercially use the rights of publicity, persona, trademark, image and name of the individuals and entities depicted in such User Contributions.

By submitting any User Contributions to us you hereby agree, warrant and represent that: (a) the provision of the User Contributions is not a violation of any third-party's rights; (b) all such User Contributions are accurate and true; (c) we shall be entitled to use or disclose the User Contributions in any way, in accordance with this Agreement, our Privacy Policy, and the Brochure; and (d) you are not entitled to compensation or attribution from us in exchange for the User Contributions.

You acknowledge that we are under no obligation to maintain PiTrade, or any information, materials, User Contributions or other matters you submit, post or make available to or on PiTrade. We reserve the right to withhold, remove and/or discard any such material at any time.

Any User Contribution you post to PiTrade will be considered non-confidential and non-proprietary, except where marked otherwise. By providing any User Contribution on PiTrade, you grant us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose/according to your account settings.

You represent and warrant that:

You own or control all rights in and to the User Contributions.
All of your User Contributions do and will comply with these Terms of Service.

You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not the Company, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness.

Pioneer Advisory is not responsible or liable to any third party for the content, safety, suitability for investment purposes or accuracy of any User Contributions posted by you or any other user of PiTrade.

Monitoring and Enforcement; Termination

We have the right to:

Remove or refuse to post any User Contributions for any or no reason at our sole discretion.
Take any action with respect to any User Contribution that we deem necessary or appropriate at our sole discretion, including if we believe that such User Contribution violates the Terms of Service, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of PiTrade or the public, or could create liability for the Company.
Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.
Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of PiTrade.
Terminate or suspend your access to all or part of PiTrade for any or no reason, including without limitation, any violation of these Terms of Service.

This Agreement may be terminated by you upon receipt by Pioneer Advisory of your written electronic notice of intent to terminate. To terminate this Agreement and your access to PiTrade, submit corresponding termination notice at support@pitrade.com.

Without limiting the foregoing, we have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through PiTrade. YOU WAIVE AND HOLD HARMLESS THE COMPANY AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY THE COMPANY DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER THE COMPANY OR LAW ENFORCEMENT AUTHORITIES.

However, Pioneer Advisory does not undertake to review material before it is posted on PiTrade and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, Pioneer Advisory assumes no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. Pioneer Advisory has no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.

Content Standards

These content standards apply to any and all User Contributions and use of Interactive Services. User Contributions must in their entirety comply with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, User Contributions must not:

Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.

Promote any illegal activity, or advocate, promote, or assist any unlawful act.
Cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, alarm, or annoy any other person.
Impersonate any person or misrepresent your identity or affiliation with any person or organization.
Involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising.
Give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case.

Reliance on Information Posted

The information presented on or through PiTrade is made available solely for general information purposes. Neither Pioneer Advisory, nor any of its officers, employees, supervising persons, warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. Pioneer Advisory disclaims all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to PiTrade, or by anyone who may be informed of any of its contents.

Limitation on Liability

THIS LIMITATION SHALL APPLY REGARDLESS OF THE BASIS OF YOUR CLAIM, WHETHER OR NOT OTHER PROVISIONS OF THIS AGREEMENT HAVE BEEN BREACHED, OR WHETHER OR NOT THE LIMITED REMEDIES PROVIDED HEREIN FAIL OF THEIR ESSENTIAL PURPOSE.

THIS LIMITATION SHALL NOT APPLY TO ANY DAMAGE THAT WE CAUSE YOU INTENTIONALLY AND KNOWINGLY IN VIOLATION OF THIS AGREEMENT OR APPLICABLE LAW THAT CANNOT BE DISCLAIMED IN THIS AGREEMENT.

Indemnification

You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Service or your use of PiTrade, including, but not limited to, your User Contributions, any use of PiTrade's content, services, and products other than as expressly authorized in these Terms of Service, or your use of any information obtained from PiTrade.

Governing Law and Jurisdiction

Any disputes arising under or related to this Agreement must be communicated in writing by the aggrieved party to the other party, detailing the nature of the dispute and any proposed resolution.

Upon receiving a notice of dispute, the parties agree to attempt to resolve the dispute through good faith negotiations within 60 days of receiving the notice.

If negotiations fail to resolve the dispute within the specified time frame, the parties agree to enter mediation through the American Arbitration Association's International Centre for Dispute Resolution or another mutually agreed-upon mediation service.

Should mediation fail to resolve the dispute, the parties agree that any controversy or claim arising out of or relating to this contract, or the breach thereof, shall be determined by arbitration administered by the International Centre for Dispute Resolution in accordance with its American Arbitration Association's Rules. The number of arbitrators shall be one. The seat of arbitration shall be Delaware, USA. The language to be used in the arbitration shall be English. The governing law of the contract shall be the substantive law of the State of Delaware.

In the event of arbitration or litigation, each party shall be responsible for its own attorneys' fees and costs, unless otherwise determined by the arbitrator or court.

You and Pioneer Advisory, LLC agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated or representative action. If for any reason a claim proceeds in court rather than in arbitration, both you and Pioneer Advisory, LLC agree that each has waived any right to a jury trial.

Notwithstanding the foregoing, you agree that we may bring suit in court to enjoin infringement or other misuse of intellectual property or other proprietary rights.

Policies for Children

PiTrade is not directed to individuals under the age of 18. In the event that we discover that a child under the age of 18 has provided personally identifiable information to us, we will make efforts to delete the child's information if required by the Children's Online Privacy Protection Act. Notwithstanding the foregoing, pursuant to 47 U.S.C. Section 230 (d), as amended, we hereby notify you that parental control protections are commercially available to assist you in limiting access to material that is harmful to minors. We reserve the right at any time, and from time to time, to modify or discontinue operating, temporarily or permanently, PiTrade, or any part thereof, with or without notice.

PiTrade may contain typographical errors or inaccuracies and may not be complete or current. We reserve the right to correct any such errors, inaccuracies, or omissions and to change or update information at any time without prior notice.

The materials appearing on or through PiTrade, including but not limited to presentations, summaries, descriptions, publications, and any other materials, are not intended to, and do not, constitute financial, investment, or business advice.

You agree that periodic operational tests may be performed on PiTrade by us, which may affect the layout, appearance, user experience, or other functionality of PiTrade.

General

Severability. If any provision of this Agreement is found for any reason to be unlawful, void or unenforceable, then that provision will be given its maximum enforceable effect, or shall be deemed severable from this Agreement and will not affect the validity and enforceability of any remaining provisions.

Revisions. This Agreement is subject to change on a prospective basis at any time. In the event that we change this Agreement, you may be required to re-affirm the Agreement through use of PiTrade or otherwise. Your use of PiTrade after the effective date of any changes will constitute your acceptance of such changes.

No Partnership. You agree that no joint venture, partnership, employment, or agency relationship exists between you and us as a result of this Agreement or your use of PiTrade.

Assignment. We may assign our rights under this Agreement, in whole or in part, to any person or entity at any time with or without your consent. You may not assign the Agreement without our prior written consent, and any unauthorized assignment by you shall be null and void.

No Waiver. Our failure to enforce any provision of this Agreement shall in no way be construed to be a present or future waiver of such provision, nor in any way affect the right of any party to enforce each and every such provision thereafter. The express waiver by us of any provision, condition or requirement of this Agreement shall not constitute a waiver of any future obligation to comply with such provision, condition or requirement.

Notices. All notices given by you or required under this Agreement shall be in writing and addressed to: Pioneer Advisory, LLC, 111 Town Square Place, Suite #1205, Jersey City, NJ 07310, or sent via email to support@pitrade.com.

Equitable Remedies. You hereby agree that we would be irreparably damaged if the terms of this Agreement were not specifically enforced, and therefore you agree that we shall be entitled, without bond, other security, or proof of damages, to appropriate equitable remedies with respect to breaches of this Agreement, in addition to such other remedies as we may otherwise have available to us under applicable laws.

Force Majeure.

Neither PiTrade nor its affiliates, officers, employees, agents, or licensors shall be liable or responsible for any failure or delay in performance caused by events beyond their reasonable control, including, without limitation, acts of God, natural disasters, pandemics, epidemics, fire, flood, storm, earthquake, war, terrorism, civil unrest, labor disputes, governmental actions, power failures, internet or communication service failures, software or hardware malfunctions, or any other circumstances that are unforeseeable or beyond the reasonable control of PiTrade ("Force Majeure Event").

In the event of a Force Majeure Event, PiTrade may suspend, delay, or limit access to the mobile application, services, or any functionality thereof, without liability or obligation to users. PiTrade will make commercially reasonable efforts to resume performance as soon as practicable after the Force Majeure Event has ceased.

No Force Majeure Event shall excuse the obligation to pay any fees due or accrued prior to the occurrence of such event.

Entire Agreement. This Agreement, our Privacy Policy, and other documents expressly incorporated herein by reference, constitute the entire agreement between you and us with respect to PiTrade, and supersede all prior or contemporaneous communications, whether electronic, oral or written.

DMCA Takedown Notice and Complaint Policy

If you believe in good faith that material available on PiTrade infringes your copyright, you may submit a notice pursuant to the Digital Millennium Copyright Act ("DMCA") to our designated agent:

Your notice must include the following information, as required by 17 U.S.C. §512(c)(3):

A physical or electronic signature of the copyright owner or a person authorized to act on their behalf.
Identification of the copyrighted work claimed to have been infringed.
Identification of the material that is claimed to be infringing and information sufficient to locate the material on PiTrade.
Contact information of the complaining party, such as an address, telephone number, and email address.
A statement that the complaining party has a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law.
A statement that the information in the notification is accurate and, under penalty of perjury, that the complaining party is authorized to act on behalf of the copyright owner.

We will respond to valid DMCA takedown notices promptly and may remove the content or disable access to the content that is subject to the notice.

Your name, physical address, email address, and phone number.
A description of the content or material you believe violates your rights or is otherwise unlawful.
Identification of the location of the material on PiTrade.
A statement under penalty of perjury explaining your belief that the content is unlawful or violates your rights.
Your physical or electronic signature.

We will acknowledge receipt of your complaint within five (5) business days.

We will review the complaint and, if valid, take appropriate action within fifteen (15) business days from acknowledgment.

If additional time is required, we will notify you with an explanation and an estimated resolution date.

You will receive an email or written communication outlining the outcome of our review and any actions taken.

This expanded policy ensures compliance with DMCA requirements while providing clear processes and timelines for addressing user complaints effectively.

Complaint Policy (Including Trademark and Privacy)

If you believe in good faith that any material posted on PiTrade infringes any of your rights other than in copyright, or is otherwise unlawful, you must send a notice to support@pitrade.com containing the following information:

Your name, physical address, e-mail address and phone number;
A description of the material posted on PiTrade that you believe violates your rights or is otherwise unlawful, and which parts of said materials you believe should be remedied or removed;
Identification of the location of the material on PiTrade;
If you believe that the material violates your rights, a statement as to the basis of the rights that you claim are violated;
If you believe that the material is unlawful or violates the rights of others, a statement as to the basis of this belief;
A statement under penalty of perjury that you have a good faith belief that use of the material in the manner complained of is not authorized and that the information you are providing is accurate to the best of your knowledge and in good faith; and
Your physical or electronic signature.

If we receive a message that complies with all of these requirements, we will evaluate the submission, and if appropriate, in our sole discretion, we will take action. We will notify you of our decision by email you provided within PiTrade. We may disclose your submission to the poster of the claimed violative material, or any other party.
